These Terms of Service ("Agreement") are a legal agreement between you ("User" or "you") and Waveio ("Company" or "we" or "us") governing your use of the Waveio mobile application (the "App") and any related services provided by the Company. By using the App or any services provided by the Company, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the App or any services provided by the Company.
 

1. Account Creation and Use
   a. Account Creation. To use the App, you may be required to create an account. You must be at least 18 years old to create an account.
   b. Account Use. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security.
    

2. User Contributions
   a. Contribution License. By contributing content, including but not limited to audio recordings, comments, and ratings, to the App, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your contributions in connection with the App and the Company's business, including without limitation for promoting and redistributing part or all of the App (and derivative works thereof) in any media formats and through any media channels.
   b. Responsibility for User Contributions. You are solely responsible for your contributions to the App, and you represent and warrant that your contributions do not infringe any third-party rights, including without limitation any intellectual property rights, privacy rights, or publicity rights.
    

3. Prohibited Conduct
   You agree not to use the App or any services provided by the Company for any illegal or unauthorized purpose, including but not limited to:
   i. Violating any applicable laws or regulations;
   ii. Using the App in any way that violates any third-party rights, including without limitation any intellectual property rights, privacy rights, or publicity rights;
   iii. Using the App to distribute spam, chain letters, or other unsolicited bulk email or messages;
   iv. Attempting to interfere with, compromise the security of, or otherwise harm the App or any services provided by the Company;
   v. Reverse engineering, decompiling, or otherwise attempting to extract the source code of the App or any services provided by the Company;
   vi. Using the App for any purpose other than its intended purpose.
    

4. Termination
   a. Termination by Company. The Company may terminate this Agreement at any time, with or without cause, by providing you with notice.
   b. Termination by User. You may terminate this Agreement by deleting your account and ceasing all use of the App and any services provided by the Company.
    

5. Disclaimer of Warranties and Limitation of Liability
   a. Disclaimer of Warranties. The App and any services provided by the Company are provided "as is" and without warranty of any kind. The Company expressly disclaims all warranties, whether express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
   b. Limitation of Liability. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the App or any services provided by the Company, whether based on warranty, contract, tort, or any other legal theory, even if the Company has been advised of the possibility of such damages. The Company's liability to you for any and all claims arising out of or in connection with this Agreement or your use
    

6. Governing Law
   a. This Agreement and any disputes arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws principles.
   b. Any legal action or proceeding arising out of or in connection with this Agreement shall be brought exclusively in the state or federal courts located in San Francisco County, California, United States of America. Each party hereby irrevocably submits to the jurisdiction and venue of such courts.
